DataCaster Sales Terms and Conditions

DZM Solutions | DataCaster

Effective Date: October 10, 2026

These Sales Terms and Conditions (“Terms”) govern the purchase and use of DataCaster products sold by DZM Solutions (“Seller,” “we,” “us,” or “our”). By purchasing a DataCaster product through our website, by purchase order, or through other authorized sales channels, the purchaser (“Customer” or “Buyer”) agrees to these Terms.

1. Product Description

DataCaster is a hardware and software solution designed to retrieve, process, and display information from industrial equipment, databases, software applications, and other compatible data sources.

DataCaster is intended primarily for information display, operational monitoring, and visualization purposes.

The Customer is responsible for determining whether DataCaster is suitable for its intended application, including compatibility with existing equipment, networks, software, and data sources.

2. Orders and Acceptance

All orders are subject to acceptance by DZM Solutions.

Orders may be placed through our website at https://data-caster.com or through an authorized sales representative.

DZM Solutions reserves the right to decline or cancel orders due to product availability, pricing errors, suspected fraudulent activity, or other legitimate business considerations.

Any conflicting or additional terms contained in a Customer’s purchase order shall not apply unless expressly accepted in writing by DZM Solutions.

3. Pricing and Payment

All prices are quoted in U.S. dollars unless otherwise specified.

Prices are subject to change without notice. However, pricing for accepted orders will not change unless agreed upon by both parties.

Payment is due at the time of purchase unless alternative payment arrangements have been approved in writing.

Applicable sales taxes, shipping charges, duties, and other fees will be calculated and added to the order as appropriate.

Orders placed through our website are processed through authorized third-party payment providers. DZM Solutions does not require customers to provide credit card information directly to its employees when using the online checkout process.

4. Shipping and Delivery

DZM Solutions will make commercially reasonable efforts to ship products within the estimated delivery timeframe communicated at the time of purchase.

Delivery dates are estimates and are not guaranteed.

Shipping charges are the responsibility of the Customer unless otherwise specified.

The Customer is responsible for providing accurate shipping information.

Risk of loss or damage transfers to the Customer upon delivery to the designated shipping address, unless otherwise agreed in writing.

Customers should inspect shipments upon receipt and report visible shipping damage or missing items promptly.

DZM Solutions is not responsible for delays caused by carriers, customs processing, weather, or circumstances beyond its reasonable control.

5. Returns and Cancellations

Requests to cancel an order must be submitted before shipment. DZM Solutions will make reasonable efforts to accommodate cancellation requests.

Returns of non-defective products require prior written authorization from DZM Solutions.

Standard return policy: Unused products in their original condition and packaging may be requested for return within 30 days of delivery.

Approved returns may be subject to a restocking charge of up to 15% of the original purchase price.

The Customer is responsible for return shipping costs unless the return results from an error by DZM Solutions.

Products that have been damaged, modified, or subjected to improper installation or use may not qualify for return.

Refunds for approved returns will be issued following inspection and acceptance of the returned product.

Defective products covered by the limited warranty will be handled under the warranty provisions rather than the standard return policy.

6. Limited Hardware Warranty

DataCaster hardware is covered by a 12-month limited warranty beginning on the original date of purchase.

The warranty covers defects in materials and workmanship under normal use.

At its discretion, DZM Solutions or the manufacturer may repair the product, replace it with a new or refurbished unit of the same or comparable model, or refund the original purchase price.

Repaired or replaced hardware is warranted for the remainder of the original warranty period or 90 days, whichever is longer.

The warranty does not cover damage caused by misuse, accidents, improper installation, environmental conditions, unauthorized modifications, or normal wear and tear.

Customers are responsible for shipping and handling costs associated with warranty service.

If any provision in these Sales Terms conflicts with the published limited warranty, the published warranty will govern warranty claims.

7. Software License and Intellectual Property

The purchase of DataCaster hardware includes a limited, non-exclusive, non-transferable license to use the software supplied with the product for its intended purpose.

Ownership of the software, underlying source code, proprietary interfaces, trademarks, documentation, and other intellectual property remains with DZM Solutions or its respective licensors.

The Customer may not copy, distribute, sublicense, resell separately, reverse engineer, or modify the software except as expressly permitted by applicable law or written authorization.

The Customer retains ownership of all operational data, production information, and other content obtained from its own systems.

DZM Solutions does not acquire ownership of Customer data through the sale or use of DataCaster.

8. Installation and Configuration

DataCaster is designed for installation and configuration by the Customer or its authorized personnel.

The Customer is responsible for providing the necessary power, display equipment, network connectivity, system access, and compatible data sources.

The Customer is also responsible for obtaining any required permissions to access databases, industrial controllers, APIs, or third-party applications.

DZM Solutions may provide documentation and technical guidance to assist with setup and configuration.

Unless expressly included in the purchase agreement, on-site installation, custom programming, database development, and integration services are not included in the purchase price.

9. Data Access and Security

DataCaster is designed to connect to Customer-controlled information systems and display selected data.

The Customer is responsible for determining what information DataCaster is permitted to access and display.

The Customer is responsible for maintaining appropriate network security, access credentials, firewall configurations, and permissions.

Where supported, DZM Solutions recommends using dedicated accounts with read-only access to data sources.

DZM Solutions is not responsible for unauthorized access resulting from insecure Customer networks, compromised credentials, improper configuration, or third-party system vulnerabilities, except to the extent caused by DZM Solutions’ own wrongful conduct.

The Customer is responsible for ensuring that confidential, proprietary, or sensitive information is not displayed in unauthorized areas.

10. Software Updates and Technical Support

DZM Solutions may periodically make software updates available to improve functionality, address issues, or introduce new features.

Unless separately agreed in writing, DZM Solutions does not guarantee that any specific new feature, integration, or enhancement will be developed or released.

Customers are responsible for maintaining appropriate backup copies of their configurations before applying updates.

Technical support may be provided through published documentation, electronic communications, or other channels designated by DZM Solutions.

Custom development, advanced integration assistance, and on-site services may be subject to additional charges.

Unless expressly agreed in writing, no guaranteed response time, service-level agreement, or continuous technical support coverage is included with the product.

11. Third-Party Systems and Compatibility

DataCaster may communicate with third-party equipment, databases, software, and industrial communication protocols.

Compatibility is dependent on the configuration, licensing, network accessibility, and technical capabilities of those systems.

DZM Solutions does not warrant the functionality, performance, or continued availability of third-party products or services.

Changes made by third-party software providers, equipment manufacturers, or network administrators may affect DataCaster functionality.

Any third-party software licenses, network permissions, API subscriptions, or additional equipment required for an application are the responsibility of the Customer.

12. Product Performance and Data Accuracy

DataCaster displays information obtained from Customer-selected data sources.

The accuracy, completeness, and timeliness of displayed information depend on the quality and availability of the underlying data, communication networks, system configurations, and connected equipment.

DZM Solutions does not guarantee uninterrupted data communication or continuous availability of displayed information.

DataCaster is not designed or intended to function as a safety-critical control system, emergency notification system, machine safety device, or primary mechanism for controlling industrial processes.

The Customer remains responsible for maintaining appropriate operational controls, equipment safeguards, and independent safety systems.

13. Limitation of Liability

To the maximum extent permitted by applicable law, DZM Solutions shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the purchase, installation, operation, or inability to use DataCaster.

Such damages include, without limitation, lost profits, lost production, business interruption, loss of data, or interruption of manufacturing operations.

To the maximum extent permitted by law, the total aggregate liability of DZM Solutions arising from a product purchase shall not exceed the amount paid by the Customer for the DataCaster product giving rise to the claim.

These limitations do not apply to liabilities that cannot legally be excluded or limited.

14. Disclaimer of Additional Warranties

Except for the express limited hardware warranty and any warranties that cannot legally be disclaimed, DataCaster products and software are provided without additional express or implied warranties.

To the extent permitted by applicable law, DZM Solutions disclaims implied warranties of merchantability and fitness for a particular purpose.

DZM Solutions does not warrant that DataCaster will meet every Customer requirement or operate without interruption or error.

15. Force Majeure

DZM Solutions shall not be responsible for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, transportation disruptions, labor disputes, supply chain interruptions, government actions, utility failures, or other unforeseen circumstances.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Illinois, United States, without regard to its conflict-of-law principles.

Any legal dispute arising under these Terms shall be brought in a court of competent jurisdiction in Illinois, unless applicable law requires otherwise.

17. Changes to Terms

DZM Solutions reserves the right to update these Terms periodically.

Updated Terms will be published on https://data-caster.com.

Changes will apply to orders placed after the effective date of the revised Terms and will not retroactively alter previously accepted orders unless agreed upon by the parties or required by law.
